2012 Shareholders' Meeting

Encana's Annual Meeting of Shareholders was held on April 25, 2012 in Calgary, Alberta.

At this meeting, shareholders:

1. received the Consolidated Financial Statements and the Auditor's Report for the year ended December 31, 2011;
2. elected directors for the ensuing year;
3. appointed PricewaterhouseCoopers LLP, Chartered Accountants, as auditor for 2012 and authorized the directors to fix their remuneration; and
4. voted on an advisory basis to accept the Corporation's approach to executive compensation.
